As Division General Counsel at Artera, I was responsible for the oversight of the company's union divisions, including Gas Distribution and Gas Transmission. In addition, I served as the primary legal advisor for Artera's corporate functional groups. Reporting directly to the Chief Legal Officer, I provided strategic counsel in various legal areas, such as mergers and acquisitions, commercial agreements and disputes, insurance, ESG, and labor and employment.Key responsibilities included: • Serve as the principal legal advisor and member of each division’s executive leadership team • Regularly communicate and present to Artera's executive leadership team and private equity ownership group• Manage Artera's Corporate Counsel – Commercial, divisional claims teams, and Legal group interns, including supervision of work, on-going mentorship, and performance monitoring and feedback• Collaborate with the Commercial Operations function to develop and implement commercial processes to ensure efficient review and negotiation of all customer agreements• Offer comprehensive legal support and guidance to the human resources department, encompassing areas such as employment law compliance, drafting and negotiating employment agreements and separations, and equity incentive plan grants compliance • Act as the primary legal advisor to Artera's M&A team, overseeing transaction review, negotiation, and commercial diligence • Legal advisor for Artera's ESG working committee• Negotiate complex commercial agreements with customers, subcontractors, vendors, and suppliers• Prepare and present risk-related materials to insurance underwriters during renewal periods• Manage legal strategy and outside counsel in litigation and settlement negotiations for all significant disputes impacting my divisions, as well as Artera• Oversee real estate portfolio of 100+ owned and leased properties
