Transactional, estate and tax planning for high-net worth individuals and their businesses. Focused on all aspects of business and private equity transactions, including mergers, acquisitions, restructurings, and formation (with particular emphasis on transactions involving foreign issuers, acquirers, and targets). Prepare analytical memoranda for attorneys, and counsel outside advisors explaining tax issues encountered in business and transactional practice (including tax procedure, withholding and disclosure obligations, trust-fund taxes, employee versus independent contractor classifications, cancellation of indebtedness income, at-risk rules, passive activity loss rules, and the application of tax laws in bankruptcy).
