In this context, the capital markets can appear chaotic, messy, and unpredictable, and individual decision-making can run between rational and irrational. In all, the market facilitates a central place where opposing sellers and buyers compete to sell high and buy low and price risk at both ends of the trade. This same market provides a problem-solving platform and paradigm where the collective integration of dispersed information and market knowledge drives price discovery and market equilibrium. Through the force of group intelligence and the collective wisdom of the market, free and independent thinking participants individually and collectively arrive at accurate answers and the closest estimate of fair market prices. As I lead a transaction, I turn to indicative pricing to drive the preliminary bond structure and to the revenues that secure loans and support debt service. The levels of interest from investors and indicative coupons and yields reflect the investment objectives of the issuer and investor and underlying risks. Regulatory compliance requires a preliminary official statement for the investor to consider, outlining the proposed transaction structure including maturity amounts, interest rates, and offering prices/yields. The POS contains information on the terms and conditions of the bond sale including the purpose, security features, and discloses economic, financial, and legal information applicable to the issue. The POS provides the investor the opportunity to evaluate the structure and credit quality of the transaction.
