    Joining Attacq a month before its listing on the JSE Stock Exchange, South Africa, I was involved in the cleaning up of the company structure/organogram and assisting with the drafting of Attacq’s prospectus. • Leading legislation compliance and assisting the first line of defence compliance officers with drafting of policies• Encouraging employee development, training employees on relevant topics and facilitating external advisor training on more specialised legal topics• Implementing anti-corruption measures at Attacq, including:­ Annual policy update­ Drafting a code of ethics for our external stakeholders (in progress)­ Integrating the above into the day to day engagements by Attacq staff with external stakeholders• Ensuring that property disposals and acquisitions are structured best and efficient from a tax, commercial perspective• Drafting and executing agreements; providing general legal advice to the group; maintaining a database of agreements. This means not only drafting the agreements but drafting implementation schedules; discussing same with the various teams and by using Microsoft Planner to ensure timeous compliance of agreements• Liaising with outside legal advisors including drafting of briefs; maintaining relationships with legal advisors of business partners of Attacq• Heading up the legal team, consisting of myself, two other attorneys and a legal assistant• Completing contribution plans and personal development plans for the staff, as well as playing a mentoring role to them. In regular team meetings we agree on outcomes and timelines of projects necessary for Attacq.

    • Leading company restructurings using the company re-organisation provisions in the Income Tax Act coupled with the new Companies Act, 2008. I managed training for clients on the provisions of the then new Companies Act, focusing on corporate governance and directors’ duties under the Act. I did bespoke memoranda of incorporation and shareholders’ agreements based on the new Companies Act substituting these for clients’ existing articles of association. I did company secretarial work for a number of clients• Once advising a client on corporate restructuring, I would draft the agreements myself. This would entail sales of goings concerns (including property sales), sale of shares agreements, shareholders’ agreements, partnership agreements etc. I would also draft implementation sheets for clients and would draft supporting documents to give effect to the agreements post implementation • I was involved in tax work with special focus on the implications of the newly introduced Tax Administration Act, 2011• I lectured as a sabbatical tax lecturer tax law for the LLB students at the University of the Witwatersrand. My duties entailed summarising the relevant tax provisions in the Income Tax Act, 1962 and VAT Act, 1991 as well as applicable tax judgments. I prepared lecture notes for the students and then lectured a very abstract field of law• As part of the tax advice, I continued to advise clients on local estate planning including drafting of trust deeds and amending same as and when the law involved through case law. I was involved in estate planning including drafting of wills and testamentary trusts. I also held office as independent trustee on a number of my clients’ personal trusts. • I expanded my practice to also undertake administration of deceased estates. From having the first interview with clients, collating documents, drafting and finalising liquidation and distribution accounts, finalising tax affairs and final pay-outs.
