• Perform financial due diligence for private equity, consumer product, manufacturing, healthcare, and a variety of other clients on deals that range from $20 million to $2 billion in purchase price• Trusted to lead projects for key accounts of the firm• Lead meetings with clients, investment bankers, sponsors, and targets on both sell-side and buy-side transaction• Lead teams that range from two to twenty individuals across multiple service lines, locations, and experience levels• Deliver quality reports to lenders, sponsors, and clients free of errors with short deadlines• Prepare quality of earnings analysis, net working capital targets, debt and debt-like schedules, and assist clients with negotiation points and language to be used in SPAs• Identify personal expenses included within a targets financial statements• Adjust for technical accounting matters such as purchase price accounting, lease accounting, straight-line depreciation, among others• Evaluate revenue recognition of targets and work with clients to determine the ease of transition to our clients policies• Assist with clients with evaluating targets existing personnel and providing insight on estimated synergies• Evaluate the control environment and accounting policies at the target• Responsible for converting cash to accrual-based financial statements• Successfully cross-sell other services to clients and targets during the course of the diligence procedures• Negotiate fees and work through out-of-scope procedures which result in additional fees• Collaborate with valuation experts, transaction tax, and other specialty services• Responsible for managing cross-border transactions and corroborating with translation services• Responsible for preparation of proposals, statement of work, scoping procedures, and managing economics• Lead the firm in utilization of international member firms which drives efficiencies and economics
