- Provide legal opinion and advice regarding business operations and investment in Thailand, e.g. Foreign Business License (FBL), Board of Investment (BOI), foreign exchange control under Bank of Thailand, legal restrictions/requirements under specific law, recommendation of suitable business structure- Draft, review, and oversee all complex commercial agreements, e.g, sale and purchase agreements for land, and joint venture and shareholder agreements, leasing agreements for commercial properties- Keep abreast of changes to all Thai laws such as tax, properties, labor and provide timely updates to clients- Review and advice on any documents that will be sent to government authorities to ensure of full legal compliance- Identify legal, regulatory, and compliance risk exposure and advice on implementation of risk mitigation - Ensure and maintain legality and corporate governance for analyze and provide timely solutions to any legal issues that may arise from the company’s current and future business operations- Ensure all regulatory filings, and corporate legal documents are legally compliant, on schedule, and that the company’s share registry and related records, including for any overseas subsidiaries and joint ventures, are appropriately filed- Assist foreign clients to obtain FBL/FBC, BOI promotion with the government authorities- Research and evaluate different risk factors regarding business decisions and operations- Draft legal advices on corporate and tax structures, commercial contracts, corporate restructuring, tax planning for local and international businesses- Conduct legal research to advise foreign clients on tax planning, investment laws, corporate registration, and general tax compliance.- Advise on and design appropriate tax structures for multinational corporations for the purposes of tax compliance and savings- Advise on legal due diligence for private companies in their shares and assets acquisition

- Provide legal advice on real estate and foreign ownership on land, development on condominiums and hotels- Provide legal advice on criminal law matters, e.g. trespassing and money laundering- Draft and review commercial contracts, e.g. exclusive distribution agreement, sale and purchase agreement, lease agreement and employment contract- Provide advice on regulations, requirements and restrictions under the Foreign Business Act and corporate law of Thailand
