I concentrate my practice in the areas of business/tax planning and dispute resolution, mergers and acquisitions, health care, estate planning, federal tax disputes and state and local tax. I assist clients with every stage of the business life cycle, from formation and raising capital through ongoing operations and growth strategies – including acquisitions, mergers and reorganizations. I regularly consult with clients concerning operational matters such as owner disputes, employment agreements, non-compete agreements, aircraft acquisitions and operations, tax structuring of real estate transactions and operations tax planning. In health care, I work extensively on business transactions and regulatory issues for health care providers, and have experience working with physicians, physician groups, ancillary service providers and other health care entities. I frequently represent health care clients in drafting and negotiating contracts and in the handling of regulatory matters. Other areas where I assist clients include managing state and federal estate tax issues and a variety of federal tax disputes. Additionally, I provide representation in state and local tax disputes for public and private corporations, partnerships, nonprofit organizations and individuals in an effort to reduce tax burdens. I regularly negotiate with tax officials, obtain tax rulings and represent clients in audit and litigation matters including, among others, property taxes, sales taxes, franchise taxes and excise taxes.
