Howard concentrates his practice in all facets of business, corporate, real estate and finance transactions, including mergers and acquisitions, as well as franchise and distribution. Often acting as general counsel, he represents clients on a broad spectrum of general business and corporate matters from formation to dissolution including business contracts, shareholder relations and the day-to-day operational and contractual issues. Representation includes closely held businesses, entrepreneurs, start-up ventures, mid-market companies and national companies in a wide range of industries. Howard’s M&A practice includes extensive experience in the review, drafting and negotiation of securities transactions and dealing with all aspects of stock and asset acquisitions, mergers, joint ventures, buyouts, reorganizations and recapitalizations. He also has significant experience in the purchasing and selling of undeveloped land and commercial and multi-family residential properties. Howard also represents companies in dealership, distributorship and supply arrangements. Howard serves as a director of several NYSE listed closed-end mutual funds, where he also is a member of the audit committees, and nominating and governance committees of those funds.
