As of 27th September 2019, the status of the company Marand d.o.o., changed with a split into three companies. One of them is Better, d.o.o. which fully assumes all previous Marand`s rights and obligations in respect of the the development and sales of innovative software solutions for healthcare. My role in Better is the same as it was Marand d.o.o. : Legal Advisor and Data Protection Officer.

As only Lawyer in Marand d.o.o. - formally named “Legal advisor” my most important role is to support the business process and sales force for foreign markets in company`s core business: providing IT solutions and system integrations for Health sector worldwide. My role in order to standardise contracting terms and to mitigate the legal risk, is to prepare the templates in English language for typical relationships with our business partners or customers, such as: Reseller Agreement, Partner Agreement, Service level Agreements, License Agreements, IT Consultancy Agreements, Non-disclosure Agreements, Copyright contracts, Cooperation Agreements… to be able to draft such an agreement template, it takes from a lawyer beside the legal knowledge, acquaintance with the internal processes of the Company and the main features of IT solutions and products in the selling portfolio and the customers expectations, as well. Another aspect of my work is rise of awareness of existing requirements of data protection rules – popularly named GDPR, already in the force in all European Union countries members as of 25th May, 2018. I was also appointed as Company`s Data Protection Officer (DPO).

As only lawyer of Halcom Group in the role of Head of Legal Office in Halcom d. d. I´m providing a comprehensive legal support for Halcom d. d. and all Halcom`s subsidiaries (Halcom a.d. Beograd, Halcom Sarajevo d.o.o. and Halcom MEA FZE with its registered office in Dubai) such as:- Support on Statutory and Legal Affairs (preparation of general meetings of shareholders, assistance to Board of directors, changes of the articles of association, Rules of procedure for Board of directors, Contract for work for Board of directors…);- Contracts based on Obligations Code and related to IT service provided by Halcom (sales contracts - in Slovenian, English and Serbian language, Sales general terms and conditions, Legal support on tender documentation, Service level Agreements, License Agreements, IT Consultancy Agreements, Non-disclosure Agreements, Copyright contracts, Cooperation Agreements, Agency Agreements, Lease contracts with tenants…);- Contracts based on Law of Property Code regulating relations with co-owners and with manger of the building, Land registry entries…;- Legal support to HR department (Employment contracts, Job offers, preparation of the Rule books pursuant to the Employment Relationship Act, assistance at the procedure for termination of employment contract…);- Legal support to Marketing department (Prize winning competitions, Sponsorship Agreements, Donors Agreements…);- Cooperation with public notaries and attorneys;- Preparation of different legal opinions based on Regulatory legal requirements (Compliance); - Representing Halcom in litigations and at other regulatory authorities.

 - Representing UniCredit Banka Slovenija d.d. at the Court;  - Preparation of different legal opinions on request of Managing Board and providing the legal support for commercial decisions;  - Completing the complex contracts in field of Obligations Code, Law of Property code and Employment Relationship Act,  - Legal opinions related to personal data protection, banking secrecy and consumers legislation; - Drafting contracts for specific bank business products such as: escrow, cash pooling, factoring, remote brokership, SEPA direct debits….;  - Preparing long-term lease contracts for Bank’s branches all over the Slovenia and providing the legal support for local branches for retail and corporate clients.

- Preparing different kind of contracts and supporting the decisions of Managing Board in field of Obligation Code, Law of Property code and Employment Relationship Act;- Regulation of complex lease relationship and land registry relations with BTC customers;- Regulation of contractual relationship with key business partners (Spar Slovenija, Merkur, MSD, Microsoft…)
