• Responsible for all legal affairs and matters of the entire organisation which includes providing legal counsel to the senior management and to other internal stakeholders• Advise on corporate law and corporate governance and monitor corporate governance compliance • Involve in the organisation’s growth plan of sourcing financing and/or funding from investors and financial institutions • Monitor on relevant aspects of law and regulations to keep the organisation up to date with changing laws and ensuring the organisation complies with and meets the legal requirements of the industry • Draft and review corporate documentation for transfer of shares, shareholders’ agreement, all other documents including tenancy agreement and correspondence relating to the organisation’s affairs• Draft and update non-disclosure along with confidentiality agreements• Review and negotiate all non-disclosure and/or confidentiality agreements handled with outside suppliers, vendors, investors and customers• Draft all transactional documents associated with dispositions and financing• Collaborate with Operations, Finance, Marketing, Sales, Business Development departments to assure legal adherence for any undertaking, project or campaign• Perform cross-functionally across entire organisation to manage different projects• Prepare, implement & modify corporate procedures and policies• Handle all HR and employment matters and issues and coordinate professionally with senior management pertinent to enforce the organisation’s procedures and policies• Draft as well as negotiate terms of reference and agreements related to joint venture, technical services, strategic collaboration, consultant services • Draft as well as negotiate engagement letter, letter of intent, MOU, letter of offer• Monitor the progress and status of filing and registration in connection with business logo and trademark• Coordinate professionally with the organisation’s Company Secretary
