* Capital Markets Transactions: - Advisor to the issuer in IPO process (adapting corporate documents to CNMV (the Spanish Stock Exchange Commission) requirements, preparation of require documentation, drafting of IPO prospectus (“Folleto”) and monitoring of the file with the CNMV and the relevant Stock Exchanges.- Advisor to the Global Coordinators and bank syndicate in IPO process: negotiation of offer contracts such as Underwriting or Allocation Agreements.- Advisor to companies in public tender offers process: negotiation of financial contracts, drafting of Offer prospectus and monitoring of the file with the CNMV and the relevant Stock Exchanges.- Accerelated bookbuilding offerings.- Advisory on block trades and other special stock market transactions.- Advisory in capital increase transactions for quoted companies: draft of offer documentation, preparation of corporate documentation, management of the offer file with CNMV and mercantile registry.- Advisory in bond issuance, securitization transactions.- Reinvestment transactions.* Project Finance Transactions:- Advisor to financial entities in various transactions (wind farms, construction projects…), drafting and negotiation of financial contracts.- Acquisition financing.- Negotiation of a range of contracts with financial entities.* Supporting functions of the Board of Directors of various public and non-public companies.* Support on arbitration process.
