• Provide legal counsel to Teall Sports & Entertainment, LLC private equity fund in the acquisition and disposition of fund portfolio companies including drafting and negotiating purchase agreements and assembling and managing datarooms and disclosure schedules.• Provide general counsel to Teall Sports & Entertainment, LLC portfolio companies including its largest portfolio company Revel XP, LLC, a national market leading gameday and event experience company and Dyehard Fan Supply, LLC a national sports and entertainment merchandise and ecommerce business. • Responsibilities include drafting and reviewing commercial contracts, vendor agreements, SaaS agreements, facilities use agreements (including for iconic venues), license agreements, equipment leases, commercial real estate leases, sponsorship agreements (including with international brands), webhosting agreements, ticketing agreements, venue solutions agreements, event staffing agreements, software license agreements, merchandising agreements, suite license agreements, catering agreements, premium hospitality agreements, sweepstakes rules, confidentiality agreements, and talent appearance agreements.• Contracting parties include prominent universities, collegiate athletic associations, bowl games, collegiate athletic conferences, horseracing and auto racing venues, NFL, MLB and MLS teams, national governing bodies of various sports and talent management agencies.• Provide strategic legal and practical advice on business initiatives that have data privacy and data collection, processing and protection implications.• Manage insurance claims, collections and risk management issues.• Work closely with portfolio companies to anticipate, identify and manage liability areas and legal exposure.• Assist with litigation matters and other claims internally and with the assistance of outside counsel.• Support business development responses to requests for proposals for services provided by portfolio companies.
