Architect of merger between TOPS Electronic Service and Elwin Electronics to form Pinnacle (conceived as consolidation platform for consumer electronics field services repair industry). Formed entity, negotiated share exchanges and employment agreements with sellers, created organizational integration plans, and managed transitions of key customer, vendor and banking relationships. Post-merger, served as CFO, managing accounting and administration support, financial planning and budgeting, human resources, risk management, banking relations, and professional service relationships. Negotiated customer service agreements, bank lines of credit, and insurance settlements. Facilitated negotiations and settlement of shareholder buyout. • Led transition into reverse logistics industry and rationalization of consumer electronics repair operations following steep declines in the demand for consumer electronics repairs.• Developed service pricing and consignment remarketing agreements for growing reverse logistics business. • Adapted IT systems to operating and customer reporting requirements of new reverse logistics service offerings. • Initiated QBR processes and reporting, and conducted business and financial reviews with strategic clients.• Orchestrated expansion of services for large ecommerce retailer from TV repair contracting to primary consumer returns repair and refurbishment partner across multiple product categories.• Drove expansion of services for leading audio OEM from processing dealer returns of headphones to providing national returns, asset recovery, repairs, and warranty fulfillment for all consumer product lines.• Directed negotiations and due diligence matters leading up to acquisition by INGRAM MICRO.

Management team has over 150 years collective experience in water and waste water industry in marketing, engineering, construction management, regulatory compliance and service operations. NWSI provides a single comprehensive source for public water systems and waste water system operators in commercial, industrial, and public facilities.

Negotiated and raised two rounds of funding for growth and development of early stage company providing survey software for the Internet. Acted as on-call CFO. Negotiated exit in connection with acquisition by Austin Ventures.

Formed WDC Holdings for leveraged acquisition of Whiting & Davis, Inc., a distressed, 120-year-old New England manufacturer of women's fashion accessories and industrial safety products. Post-acquisition, served as CFO supervising banking relationships, accounting, administrative, risk management, vendor relationships, human resources and legal matters. • Restored profitability through lease renegotiations, overhead elimination, product line rationalizations, and outsourcing inefficient manufacturing operations.• Moved company from 120K sq. ft. to 65K sq. ft. while restructuring manufacturing operations for greater efficiencies and lower fixed costs, truncating environmental liabilities associated with previous facility, and eliminating unionized positions from fashion line of business. • Installed line of business reporting and standard costing practices to maintain gross margins on industrial products consistently in excess of 40% • Segregated fashion operations into new entity, Fashion Brands, Ltd. and acquired another complementary products company to broaden product lines and customer base, leverage sales channels and overhead, and position for eventual exit. Fashion Brands sold to Ganson Ltd. in January, 1997.• Negotiated and executed sale of remaining safety products company to Bacou USA in June 2000 yielding 20x shareholders investment.
