Assuring compliance of the banks’ activities with the applicable antitrust and competition legal framework on financial services and in particular cartels, concentrations, unfair commercial practices, misleading advertising, and abuse of dominant position also taking care of the diffusion of an antitrust compliance culture within the group. Drafting and review of contracts (investment agreements, shareholders agreements), legal opinions; filing of concentrations with antitrust authorities, advocacy on legislative initiatives concerning competition in the financial services market.

Merger & Acquisition Department - Involved in: (i) merger & acquisition transactions, and more specifically in legal due diligence and in writing and analysis of contracts and legal opinion; (ii) banking and financial law and in particular in all the matters related to the procedure for registration of companies in the general register of financial intermediaries as provided in the Italian Banking Act; and (iii) antitrust matters.

Structured Finance Department – involved in corporate matters, finance law, banking and structured finance operations such as securitization, covered bond, derivatives, assignment of receivables and more specifically in the writing and analysis of contracts and legal opinion.
