In the General Counsel Direction, I deal with extraoardinary transactions or any other transaction having strategic importance or concerning the banking group as a whole, supporting all central and business functions in defining the most suitable legal structures, with a particular focus on M&A, regulatory and market issues. For all projects in our Direct Banking and Innovation areas I am a reference of the legal area, and I follow all activities with my colleagues, including the development of our Open Banking platform and marketing and UX strategies and the construction and negotiation of partnerships with primary Fintech and industrial players. I am also in charge of reviewing all standard contracts with retail clients and I often contribute with an in-depth analysis to the resolution of the most complex cases.On a daily basis, I help to coordinate relationships with colleagues from the legal areas of different business divisions and other companies of the group, and I deal with any judicial disputes involving the Bank. I am secretary of the New Products Committee, of which I help to manage meetings and contributions, providing my own legal feedback on the items on the agenda from time to time.

Capital Markets and M&A. Advice and assistance to listed and listing companies mostly in market transactions, such as capital increases with placements on the market (for banks), IPOs on regulated markets and MTFs, advicing on the structure of the transaction, on corporate governance and any other issue related to the process (including drafting of prospectuses/admission documents). Among the transactions i've been inolved with:- special purpose acquisition companies (SPAC) incorporation, listing on AIM Italia and completion of business combinations;- public takeover bid (advicing the target company);- capital increase with public offer for a bank under ECB direct supervision;- intragroup merger in a primary Italian banking group with admission to listing on MTA.Corporate law and regulatory. Advice to listed companies (MTA and AIM) for the drafting of, and compliance with, corporate policies (such as market abuse and related parties), as well as for Shareholders’ Meetings, Boards of Directors and Committees.Advice and assistance both in ordinary and extraordinary transactions to leading credit institutions on the applicable regulatory framework, liaising with the relevant Supervisory Authorities (ECB, Banca d’Italia, Consob), on, among others: direction and coordination, corporate governance, mergers, qualifying holdings, remuneration policies and plans and severance packages, bail-in, outsourcing of functions.

Ascertainment of the administrative liability of companies: drafting of legal communications of infringements according to Italian L. 689/81, drafting of replies to pleadings submitted by the companies. Enforcement of the laws on products safety under the Italian Consumers’ Code (D.lgs 206/2005), and relating to toys, electrical products and textiles safety.Study and legal opinion drafting about national agreements on the supervision activity of the chambers of commerce, consumer credit, registration of transport and commerce of radioactive material, promotional sales, warehouses.Management of requests of access to administrative documents according to Italian L. 241/90.Study and drafting of informational guides for companies about textile products safety (in collaboration with Sistema Moda Italia e Centro COT – body of certification), labelling of energy-related products, and on counterfeiting (in collaboration with Federmoda).Attendance to conferences on counterfeiting, unitary patent, restrictive clauses, network agreements and international arbitration.

Drafting of minutes of the hearings, preliminary measures, evidentiary decrees, decisions and orders.
