(TSX/NYSE: LSPD) - $430MMAs Upserve's first legal hire and sole member of its Legal Department, I was tasked with developing Upserve’s legal function while handling a wide range of transactional, legal and compliance matters in the SaaS/fintech/payments space, including:• Drafting, reviewing and negotiating a broad range of contracts, including inbound and outbound software-as-a-service (SaaS), payments, professional services, licensing, consulting, channel (referral, affiliate, and reseller), integration (API), strategic partnership, real estate, and nondisclosure agreements.• Developing and maintaining the company’s standard agreement templates (including the company’s Master Subscription Agreement) to support new product, pricing and go-to-market efforts, address applicable laws and reduce deal friction.• Managing, maintaining and enforcing the company’s intellectual property portfolio, including preparation of trademark applications.• Ensuring compliance with applicable laws, including data privacy (e.g. CCPA), employment, AML (including FinCEN regulations and guidance) and card payment network operating rules.• Handling of all inbound and outbound legal matters and inquiries (e.g. subpoenas, summonses, levies, liens, and litigation) and engaging and managing outside counsel as needed.• Supporting the company’s buy- and sell-side M&A efforts. • Partnering with internal business units and key stakeholders to identify and mitigate legal and business risks while achieving the company’s business objectives.
