United States Counsel to an international leader in the design, manufacture, and sale of finished watches, jewelry, watch movements and components, and the global leader in sports event timing. Swatch Group brands include Breguet, Harry Winston, Blancpain, Glashütte Original, Jaquet Droz, Léon Hatot, Omega, Longines, Rado, Union Glashütte, Tissot, Balmain, Certina, Mido, Hamilton, Calvin Klein watches + jewelry, Swatch, and Flik Flak.

Counsel for all North American business and legal affairs of a NYSE-listed (CKP) global leader in merchandise availability solutions for the retail industry. Responsibilities include the following:• Commercial Contracts: Primary counsel to North American Sales and Field Service teams; Draft and negotiate all agreements for North American lines of business; Provide advice pertaining to US and non-US laws and regulations concerning manufacturing, labeling, and import/export issues• Corporate Counsel: Primary counsel to Corporate Finance, IT, Treasury, and Risk departments; North American team lead in all M&A and strategic transactional matters; Manage outside counsel on litigation and matters of specialized expertise • Human Resources: Primary counsel to HR on U.S. and international employment and labor law matters and corporate policies

Part of two-attorney team responsible for all business and legal affairs of the Company. • Licensing: I worked with our Content team to create a library of award-winning educational content available on-demand to K-12 schools. This included drafting agreements for inbound licensing and acquisition of content from industry leading providers for integration into content packages, drafting royalty agreements for international outbound licensing of company-owned content, managing and tracking all of the company’s license agreements and intellectual property, conducting research and providing advice on trademark and copyright matters, and responding to requests for licensing of the company’s intellectual property including researching rights and preparation and review of permissions documents.• Commercial Contracts: I worked with our sales team to bring our products and services to over 10,000 schools nationwide. This included independent analysis, revision, and drafting of complex commercial agreements including responses to RFPs, service agreements, and scopes of work, reviewing and monitoring the company’s contracts database and handling information requests regarding all company contracts, negotiating and drafting strategic partnership agreements for our dealer network, and reviewing all marketing and sales materials for IP compliance.• Engineering/Software Development: I worked with our software development team to create innovative applications and solutions for incorporation into our products. This included providing counsel throughout all stages of the development lifecycle on a variety of legal issues, including negotiating and drafting agreements for integration of third party software and advising on privacy-by-design in consumer facing products.

• Mergers & Acquisitions: I worked on behalf of large institutional investors analyzing the proxy statements, commercial agreements and other public filings of the companies in which they invested for violations of fiduciary duties by financial advisors and Board of Directors members in connection with mergers and acquisitions and other significant corporate actions, including representation throughout all stages of litigation in Federal and Delaware Chancery Courts.

• Commercial Contracts: I worked with a talented team located chiefly in South America to provide streaming media solutions. This included negotiating and drafting a variety of agreements (joint venture agreements, digital rights management agreements and customer contracts) for projects in multiple industries, including providing access to Japanese baseball broadcasts to Brazilian viewers.• Corporate Governance: I worked with our executives to expand RAMP’s sales and infrastructure network, including drafting organizational documents, non-disclosure agreements and franchisee agreements, and training the sales team on a variety of legal issues. For matters that required specialized expertise, I managed international outside counsel and professional advisors.

• Corporate Counsel: As an associate in Florida’s largest law firm, I negotiated and drafted sponsorship and community partnership agreements for the Miami Dolphins, advised a platinum-selling music group on trademark and licensing issues, and negotiated print and digital media contracts for a national medical supply sales company.• Mergers & Acquisitions: As part of the #1 ranked corporate department in Florida, I worked on mergers and acquisitions for numerous Fortune 500 companies, including negotiating and drafting asset purchase agreements for the acquisition of an international entertainment/hospitality brand and its restaurants and Las Vegas casino properties.
