Corporate transactions lawyer in the health and social care business services group.

I am an Associate in the Commercial Team at Capsticks, the biggest healthcare focussed Commercial Team in England. As a Firm we are at the forefront of advising the Vanguard sites and providing practical advice on implementing the Five Year Forward View models of care (as well as integrated care / Accountable Care Organisation projects). I regularly advise on public procurement and competition issues in this context (and more broadly) as well as acting on a range of NHS and independent sector transactions, including advising on IT projects, independent sector commercial contracts and healthcare M&A. I have also acted as the day to day lead solicitor on a range of ground breaking transactions involving the first exercise of statutory powers by central government or key healthcare stakeholders, such as (i) the statutory franchise of a NHS hospital (Hinchingbrooke Health Care NHS Trust); (ii) the first whole organisation NHS foundation trust merger to be reviewed and cleared by CMA (the Frimley Park acquisition of Heatherwood and Wexham Park); and (iii) the first and only special administration of a NHS trust (at South London Healthcare NHS Trust).

Interviewed successfully against lawyers from magic circle firms and was chosen to go on secondment to the CCP (the competition regulator for NHS funded services). Acted as a case manager, assessing referrals to the Panel, liaising with economists, drafting reports on the same and advising the Panel.

Capital marketsActed as counsel to founding directors of a software company on its listing. Role in the transaction involved reviewing and negotiating the top tier investment banks' engagement letters, reviewing and negotiating the underwriting agreement and managing the ancillary documents. Acted for an Italian airfreight company on its attempted listing on AIM. Role encompassed management of due diligence and verification process (including coordinating foreign counsel), drafting parts of the back end of the admission document and drafting and agreeing the ancillary documents. Acted for an Italian telecommunications company on its listing on AIM. Role involved managing the ancillary documents and managing the verification process.AcquisitionsActed for an international IT consultancy company, listed on the Italian Stock Exchange, in its acquisition of an English company specializing in enterprise architecture, solution design and service-oriented architecture consulting services. My responsibilities on the transaction included, inter alia, drafting and negotiating the share purchase agreement, managing the due diligence process, drafting the ancillary documents and managing the transaction generally on a day to day basis.Acted for the purchasers on the acquisition of Queens Park Rangers football club. Role involved general management of the transaction, coordinating the due diligence and verification processes, drafting the share purchase agreement, the offer document (the transaction was caught by the City Code on Takeovers and Mergers) and drafting the ancillary documents. Acted for Royal Bank of Canada in the acquisition of Mourant Private Wealth. Responsible for drafting all transaction documents and running all aspects of the transaction.

Commercial contractsActed for Renault Formula 1. Drafted many sponsorship agreements, non-disclosure agreements and negotiated and drafted an agreement for the supply of IT technology for use in Renault Formula 1's control fluid dynamics centre at its Enstone centre.Acted for several high-end fashion brands. Negotiated and drafted several shop-in-shop concession agreements, as well as distributor agreements.Acted for an IT consultancy firm. Reviewed its standard terms and conditions and consultancy agreements. Reviewed firm's framework agreement with large high street retailer.Acted for Queens Park Rangers Football Club. Drafted sponsorship agreements, reviewed and amended standard terms and conditions of season tickets and executive packages, reviewed website terms and conditions and drafted agency agreements.
