Led and delivered various transfer pricing projects with a focus on M&A deals and post-acquisition structuring as part of the core M&A TP team, including:- Preparation of due diligence and structuring advice (both buy-side and sell-side);- Review of financial modelling calculations and provision of advice in relation to considerations to be included;- Input into sale and purchase agreements, including input on specific clauses (e.g. warranties and indemnities) to be included;- Preparation of IP and financing-related models in support of various M&A transactions;- Preparation of responses to queries from W&I insurance providers with reference to due diligence workstreams; and- TP-dedicated liaison for Deloitte M&A Tax and Financial Advisory teams.Broader TP responsibilities include debt pricing projects, credit rating assessments, benchmarking of leasing arrangements, valuation of intangible assets, advising on TP policies and preparation of TP documentation.Co-developed the M&A TP Playbook which sets out a global training manual on M&A deals, post-acquisition structuring and go-to market material.Involved in mentoring, training and development of staff in relation to technical transfer pricing matters, technologies and process improvements

Secondment to Treasury Wine Estates Limited (TWE) for the purposes of assisting the TWE M&A team with the acquisition of Frank Family Vineyards and divestment of Provenance Vineyards.

Dedicated M&A Transactions specialist advising on M&A deals and post-acquisition structuring in the European market, responsibilities included:- Preparation of due diligence and structuring advice (both buy-side and sell-side); - Preparation and review of financial models;- Coordination of broader deal process for European Industrial and Private Equity clients;- Preparation of tax optimised acquisition and financing structures; - Management of internal and external stakeholders; and- Preparation of income tax returns and management of compliance projects to meet Tax Office deadlines.
