Associate General Counsel
Current• Lead counsel for mergers, acquisitions and divestitures. Project lead for numerous SKF acquisitions and divestitures, including multiple cross-border transactions. Work with outside counsel drafting and reviewing purchase agreements and ancillary agreements and participation in negotiation of business and legal terms. Post-acquisition, responsible for managing the legal work stream for the acquisition integration team.• Counsel responsible for all matters relating to distributor sales and the reliability systems business unit, as well as all matters relating to the company’s automotive division. Draft, review and negotiate supply contracts, services agreements, purchase order terms and conditions, non-disclosure agreements, non-compete agreements, and other operational agreements. Provide legal consultation and guidance on warranty claims and other disputes with customers.• General legal counseling for all business areas including human resources and litigation matters.• Counsel responsible for corporate governance of the company and many of its subsidiaries, foreign and domestic.• Conduct training programs for sales personnel and other employees with respect to internal corporate policies, including antitrust, contract risk and related company policy, and corporate compliance.
