As In House Counsel for this privately held manufactured housing company I primarily focus on contract negotiations with vendors; employment issues for our hourly and contract employees and various real estate matters. I am also working on developing and instituting a program and procedures for maintaining our compliance with OHSA rules and regulations for a company of our size.

2004-2005 Litigation Counsel. I managed over 100 litigation matters for KeyCorp, approximately 50 of those cases were active litigation. My responsibilities included hiring and managing outside counsel and working with them to develop and implement the appropriate legal strategy for each case. Also, I personally represented KeyBank in litigation, where I successfully argued KeyBank’s position to judgment. I also assisted senior counsel with both arbitration and mediation hearings.2002-2004 Counsel for Workout Group. I was responsible for restructuring loans which were “at risk” in order to mitigate the KeyBank’s exposure to both loss and fraud. I worked closely with our loss mitigation department and workout loan officers to renegotiate these at risk loans with eye toward protecting KeyBank’s position should the loan go into default and the borrower file for bankruptcy protection. I drafted workout agreements; complex loan restructure agreements; and accompanying documentation for the “at risk” bank loans. Where restructured deals were not available, I assisted with bankruptcy filings and assisted senior counsel with 2004 hearings.1998-2002 Paralegal Retail Banking Group. My responsibilities included legal research, writing, UCC filings, and tracking Federal and State Senate and House Bills for pending laws that would affect the banking industry. I was a member of the Privacy Committee that drafted and implemented KeyBank’s Privacy Policy pursuant to the Gramm Leach Bliley Act.

My primary responsibility was to instruct our corporate and legal clients how to effectively use our database for legal and business research and then utilize the information gathered to develop their approach to various legal issues and business strategies. I developed many of my own seminars teaching large and small groups as well as one on one instruction.

My two main responsibilities were maintaining daily support for our outside sales force and conducting training seminars for the sales force on our product offerings.
