Executive Vice President and General Counsel of a NASDAQ listed public company managing a portfolio of 27 brands and reporting directly to the Chief Executive Officer and Board of Directors. Oversight and responsibility for all legal aspects of company’s operation, including corporate transactions (both M&A and financing), brand licensing, maintenance of trademark portfolio, SEC reporting, governance and litigation management. Development and management of a legal team of seven persons, comprised of five attorneys and two paralegals.Through coordination of business, finance and legal functions, responsibility for structuring, diligencing, negotiating, documenting and closing all transactions, including brand acquisitions and sales, joint ventures and debt and equity financings. Management of all legal aspects of maintaining the Company's global tax structure with over 15 international subsidiaries. Lead highly-leveraged company through refinancing of capital structure.Advise Board of Directors and all Committees thereof (including the Audit Committee, Compensation Committee and Nominating and Governance Committee) on all matters relating to governance and fiduciary duties. Development of materials for quarterly and special Board meetings, and act as the Company's corporate secretary, preparing minutes of all Board and Committee meetings. Sole responsibility for all legal aspects of SEC Exchange Act reporting, and Annual and Special Shareholder Meetings, including drafting Proxy Statements and presenting proposals in a persuasive manner in order to ensure a positive outcome for the Company on matters required to be presented to shareholders for approval. Successfully lead Company through SEC comment letter process relating to revenue recognition issues, a process that commenced four months after arrival at the Company.
