Corporate Counsel for a large, publicly-traded healthcare corporation specializing in medical transportation, facilities-based physician practice, and post-acute services. My practice focuses on our post-acute and facility-based provider businesses. Duties include contract review, drafting, and negotiation, M&A pre- and post-acquisition due diligence, Medicare and Medicaid billing compliance, legal research, advising business lines on regulatory compliance matters, and working closely with corporate compliance to draft/review corporate policies and practices.

Responsible for sourcing events, competitive bids, service and other contract types across the five-hospital system. I managed a team of attorneys, paralegals, and support staff. Accountabilities included overseeing the activities of contract subject matter experts from simple and routine to highly complex contractual arrangements of strategic importance to a corporate or business unit. Partnered with MHS stakeholders to fulfill their contractual needs, serving both the best interests of the department and MHS. Reviewed, negotiated, and drafted high-profile agreements for the health system including ACO CIN agreements, GPO agreements, IS system maintenance agreements, and physician group agreements.

Developed and managed an interdepartmental contracting process. Worked closely with subject matter experts to refine the contract approval chain. Represented strategic sourcing and supply chain in multi-year, system-wide projects including purchase and implementation of smart IV pumps, GPO conversion, and the creation of a new joint venture.

My duties primarily included negotiating, drafting, and reviewing professional services agreements for the health system with an eye on increasing efficiencies, reducing costs, and driving for high quality outcomes. While working on drafting agreements, I utilized my health law background to assess the legal and regulatory compliance risks associated with each particular document. My body of work included medical director agreements, healthcare IT agreements, clinical services agreements, and several other types of agreements. In addition to drafting contracts, I was heavily involved in streamlining the competitive bidding process to reflect the system's commitment to excellence. Miscellaneous tasks include drafting legal memoranda, drafting RFPs, and working closely with General Counsel to revamp the system-wide contracting process.

I have provided research to general counsel on issues including medical services liens, medical staffing models and scope of practice issues, HIPAA compliance, ADA and ambulatory surgery centers, and medical adverse event reporting. Currently, I assisted the Medical Staff V.P. with standardizing staff bylaws across the health system. Further, I reviewed incoming clinical trial agreements and negotiated contract terms directly with study sponsors.

Performed legal research concerning Stark law issues around certain classes of medical school faculty members. Drafted school-wide and department-wide policies for unpaid faculty to ensure compliance with Stark and other conflict of interest guidelines. Created mechanism to track faculty compliance with policy.
