It is a two-sided marketplace for temp staffing shifts offering workers and businesses the flexibility of 'gig' models with the protections of a traditional temp staffing arrangement.*Head of the legal department and member of the executive team leading up to and during the the company's 2022 sale to Employbridge. I led Bluecrew's operational and legal efforts for that M&A transaction at both a strategic and tactical level, from diligence through post-closing transition. In this role, I also oversaw all of Bluecrew's complex and diverse day-to-day legal matters, providing strategic direction of litigation/disputes and transactions; counseling on legal risk in product design, business strategy, and marketing; and managing other attorneys and the legal budget.

*Handy was acquired by IAC (NASDAQ: IAC) and its subsidiary Angi (NASDAQ: ANGI) in October 2018*Led the legal function through a period of hyper-growth and rapid product expansion as Handy built and powered a new Services division and offerings for Angi (the combination of the former Angie's List and HomeAdvisor) and its users, while simultaneously defending Handy's core gig marketplace business model from existential legal and regulatory challenges.During this time, I managed all legal issues for Handy and Angi's Services division, including by:  • Providing practical and strategic advice to executive and cross-functional teams on wide-ranging legal issues affecting the business, including issues in consumer protection, privacy, tech, IP, and employment law. Particular emphasis on hands-on and creative product counseling.• Managing strategic response to complex litigation and regulatory investigations, including developing legal strategy and advising on internal and external response. Matters included multiple large class actions and a government enforcement suit relating to the business’s ability to operate within the state of California.• Running the government relations function and directly representing the company in discussions with state and city legislators and regulators about issues affecting the industry.• Supervising all aspects of dispute resolution from initial investigation through conclusion.• Leading the compliance function; monitoring and training management on compliance developments.• Managing legal spend, retaining and supervising outside counsel, supervising other attorneys, paralegals, and customer service / dispute resolution team members. • Overseeing and advising on the negotiation of various agreements, including strategic partnerships and M&A deals.

• Directly represented company in a wide range of complex litigation and disputes, including IP, commercial, employment, advertising/consumer protection, antitrust, privacy, and First Amendment matters. (Hearst’s in-house team litigates the company’s disputes itself, rather than hiring outside counsel.)• Provided strategic advice to all levels of the business on a variety of developing legal issues, including those in the areas of IP, privacy, advertising/consumer protection, antitrust, data use and security, and employment.• Conducted pre-publication review of advertising and editorial content published by Hearst’s consumer-facing divisions.

Represented media, technology, sports, and entertainment clients in complex media, First Amendment, intellectual property, and general commercial litigation. Extensive involvement with and primary responsibility for several high-profile matters.
