I advised Tenet with respect to federal securities law, Sarbanes-Oxley, Dodd-Frank and NYSE compliance, including the preparation of annual and periodic reports, proxy statements and Section 16 filings; mergers and acquisitions; debt and equity offerings and tender offers; transactions relating to an asset-based credit facility; corporate secretarial functions for the Board and its committees; treasury, executive compensation and investor relations matters; commercial contracts; and general corporate matters. Representative matters included the company’s $4.3 billion acquisition of Vanguard Health Systems, Inc.; the purchase of the company’s public debt and the issuance of over $12.9 billion in senior notes and preferred stock; and the negotiation of a $1 billion asset-based revolving credit facility.
