• Advise and provide strategic guidance to the executive management team and various operating units on sponsored programs, research and development, new initiatives, agreements and government compliance.• Research, review, advise and negotiate policy and compliance issues for procurements, non-disclosure agreements, sponsored research agreements, evaluative testing agreements, equipment purchase agreements, grant disbursement agreements, wafer process agreements, facility access agreements, service agreements, export compliance matters, intellectual property and tech transfer matters. • Prepare various template agreements for internal clients as well as assist with negotiating complex, multi-faceted business agreements.• Work with external counsel and The Research Foundation Office of General Counsel on specific projects, e.g., IP related matters or legal actions, as needed.• Perform tech transfer duties, including working on invention disclosures, patent applications and patent prosecutions with external counsel and The Research Foundation central office.

• Draft, review, negotiate, and process various federal, state, and private agreements. Types of agreements include grants, contracts, MOUs, teaming agreements, cooperative agreements, and subawards.• Conduct pre and post award risk assessments of incoming and outgoing agreements.• Review terms and conditions to ensure compliance with state and federal laws and regulations, University and RF policies and procedures, and sponsor guidelines. • Develop new processes, guidelines, and templates for ensuring best practices in research administration. • Manage systems designed for efficient completion of agreements and amendments and effective communication to various stakeholders.• Ensure proposed budgets, statements of work, and deliverables are contextually appropriate for the research project and align with contractual terms and conditions.

• Ensure compliance with all federal, state, and university statutes, regulations, policies, and guidelines regarding research conducted by UAlbany involving human subjects or live-vertebrate animals.• Provide compliance support to the University at Albany Institutional Review Board (IRB) and Institutional Animal Care and Use Committee (IACUC).• Educate researchers on the background of, and proper methods and procedures for, engaging in human subject or animal research. • Conduct external grant reviews for sponsored projects involving human subjects or animals to ensure congruence between the grant and applicable IRB and/or IACUC Protocol.

Adjunct (part-time) professor of Business Law. Courses focused on the statutes and regulations surrounding contracts and contract formation, with added emphasis placed on the relationship between contracts and business and the economy.
