 Lead large, complex transactions, including spin-offs, carve-outs, sales of business, and public and private offerings. Prepare SEC filings, carve-out and pro-forma financial statements, and ensure compliance with SEC Regulations S-X and S-K.  Manage research and resolution of complex M&A and accounting technical issues, including those related to business combinations, segment reporting, intangibles and goodwill, impairment and disposal of long-lived assets, and asset retirement and environmental obligations Oversee analysis and financial due diligence processes to measure the performance of proposed acquisitions and/or business opportunities. Advise purchase price accounting and allocation methodologies and establish post-deal finance and accounting infrastructure. Assess capital market readiness through the analysis of financial data, governance structure and internal control environment to identify key risks and potential exposures.  Partner with cross-functional teams to design IPO readiness plans aligned to the business strategies and objectives of the company. Provide post-IPO stabilization support to ensure finance/accounting function operates effectively as a public company. Lead seminars and training sessions on topics, such as SEC reporting, carve-out financials, and IPO readiness.  Lead and manage the end-to-end engagement process, including scoping, preparing budget, identifying staffing resources, coordinating client-ready deliverables, and communicating results to clients
