Responsible for M&A activity in North America including the sourcing of potential targets, evaluation of companies, negotiation of LOI’s, due diligence, and negotiations of terms in stock purchase and asset purchase agreements. Oversee team to identify joint venture opportunities, negotiate and close majority and minority acquisitions. Partner with Chairman of the Board to identify strategic opportunities, oversee initiatives and measure results.

Named CFO for Prosegur Security USA and all acquired domestic entities. Responsible for all facets of finance and accounting including treasury, liquidity management, budgeting, FP&A, risk management, and internal reporting. Responsible for system integration team completing 19 different integrations including, but not limited to, the migration of multiple ERPs and payroll systems, consolidation into a single chart of accounts, and other subsystem transitions. Oversee all tax services including tax planning, tax strategy and tax returns for 6 Prosegur entities. Created a tax-free Section 351 transaction to restructure Prosegur Security Integration into two entities as part of a complex equity and parent company reorganization.

Led the sell-side of Prosegur’s acquisition of the company including LOI, negotiations, due diligence, legal docs and close. Responsible for all facets of finance and accounting including treasury, liquidity management, audit, tax, FP&A, risk management, and internal and external reporting. Successfully led refinancing which included the replacement of existing ABL (Asset Based Lending) lender with new lender including road show, due diligence, loan document negotiation and covenant modeling. Maintain liquidity and cash flow in a challenging ABL environment with strong seasonality trends. Oversaw integration of newly-acquired acquisition representing top-line growth of over 35% and drove over $1.25 million of cost savings through labor insourcing, labor savings, facility negotiations and contract renegotiations. Responsible for selection of outside counsel, liaisons with outside counsel, legal strategies, sign off on customer contracts. Direct involvement in mediation and legal proceedings.

Enterprise ownership of a budget/forecast process during period of growth from $300 million to over $500 million. Leadership role in decision-making relating to Chapter 11 reorganization, restructuring, center closings, new organizational structures, cost alignment initiatives and enterprise capacity. Developed and successfully implemented a company-wide Bright Ideas initiative focusing on cost savings and process improvement with annual savings of $1.5 million as well as redefined and enhanced existing business practices leading to additional EBITDA savings in excess of $1.0 million. Managed a staff of 12 Financial Professionals providing operational and financial support, capex and procurement supporting both domestic and offshore operations.
