Leading Risk Management function for the Payment Protection Program

As Chief of Staff to General Counsel and Corporate Reputation and Governance, Jennifer is responsible for the legal operations, including outside counsel management. Her extended team of 53 associates is accountable for day to day management of legal operations, financial reporting and analysis, as well as legal risk management. Developed and managed large divisional budgets; managed resources to drive efficiencies to meet corporate cost targets. Developed divisional communications for broad based organizational issues and preparation of senior executive presentations for internal speaking engagements.Jennifer is accountable for managing subpoena and special project functions for the Legal Department. She is the Divisional Business Risk Officer for legal and reputation risk management. Jennifer provides advice and counsel to senior executives regarding organization structure and planning and associate issues in addition to being the performance management lead. Jennifer is also the liaison to Corporate Real Estate; responsible for space planning and site management for the Corporate Reputation & Governance division. Jennifer led both the TARP and Dodd-Frank Project Management Offices, including the establishment of governance and reporting structures to ensure compliance with requirements and effective reporting to senior management.Drove process improvements for outside counsel management program and negotiated the establishment of special fee arrangements with our Preferred Provider Network resulting in outside counsel expense reductions.Led all aspects of the successful integrations of acquired company’s legal departments (ING Direct, HSBC Card Portfolio and Chevy Chase Bank), including organizational planning and budgeting, while meeting synergy targets.

Six years of progressive responsibilities from Senior Financial Specialist to Director of External Reporting (SEC/External Financial Reporting/Equity Accounting) Jennifer was responsible for the preparation and review of SEC filings including Forms 10-K, 10-Q and 8-K. In addition, she managed the quarterly earnings release process.Responsible for the pro forma financial statements for SEC Form S-4 related to our material acquisitions (Hibernia Bank and North Fork Bank) She developed, documented and maintained corporate accounting policies and procedures. Identified, researched and analyzed GAAP and SEC reporting requirements including new accounting pronouncements, disclosures and analysis regarding new transactions. Assisted with the implementation of Sarbanes-Oxley. Heavily involved in adoption of SFAS 123 and other stock-based compensation issues.

Responsible for all aspects of outsourced accounting engagements from planning to the delivery of the final product. Jennifer identified, researched, and evaluated technical accounting issues and reporting requirements, and advised the client on proper accounting treatment, including implementing and interpreting new FASB pronouncements.Implemented new accounting systems, including chart of account development, establishment of internal control procedures and reporting formats. Acted in the capacity of Interim Director of Finance/Controller for various client companies. Presented financial statements to Board of Directors and client management. Audited or compiled financial statements for not-for-profit clients ranging from $50,000 to $50,000,000. Conducted internal control and management studies to evaluate the efficiency and effectiveness of the control environment and management practices

Four years of progressive responsibilities from Junior Accountant to Supervisor in both the Accounting Services Department and the Audit Department serving clients in the not-for-profit industry. Received exposure to all parts of the audit process from planning to financial statement reporting.
