• Act as general counsel to Brink’s Canada’s Executive Leadership Team on all legal matters, including mergers and acquisitions, human resources and labor issues, operational challenges, licensing, and privacy law. • Negotiate high-stakes contracts with Brink’s major customers in the U.S. and Canada and provide proactive, strategic advice to help maintain those relationships and resolve disputes. Work in close partnership with Sales, Risk Management, Finance and Operations to close deals.• Work alongside Brink’s Global Product Team to bring new products and services to market in an efficient, creative and profitable manner, including evaluating and mitigating legal risks for each offering, establishing compliance processes, preparing workflows, and drafting customer agreements.• Manage outside counsel handling litigation and project work in a cost-effective, impactful manner.• Train Sales and Procurement staff to ensure they can confidently handle contract negotiations, including how to overcome common negotiating roadblocks, dissecting business issues, and weighing risks. • Support U.S. and Canadian Procurement in the negotiation of vendor agreements and resolution of disputes, including IP licenses, manufacturing agreements, complex subcontractor agreements and real estate leases.• Assist with M&A activity, including due diligence, compliance, negotiation of purchase agreements, transfer of assets and subsequent integration activities.

• Draft and negotiate contracts across all business units, including consumer form contracts, client agreements, office leases, vendor agreements, marketing alliances, trademark licenses and royalty agreements, software licenses, and nondisclosure agreements.• Act as the primary Legal liaison for Marketing on all marketing matters, including review of TV commercials, web content, direct mail and email campaigns, and rebate offers to ensure compliance with state and federal consumer, solicitation, and privacy laws.• Investigate and evaluate customer complaints and inquiries from consumer protection and licensing agencies and negotiate appropriate resolutions with those individuals and their counsel.• Assist the General Counsel with corporate governance challenges and compliance with securities laws and exchange requirements following the company's spin-off in 2008 from its parent, The Brink's Company.• Spearhead various compliance projects to manage risk and address evolving legal requirements, including creating and implementing the company’s first privacy policy and first record retention policy.• Manage litigation with outside counsel with the aim of reducing exposure and fees.• Assist the Manager of Government Relations with lobbying and industry relations activities and participate in developing company strategy regarding legislative issues affecting the alarm industry.• Assist Human Resources with sensitive employment issues, including investigations and terminations.• Prepare the company’s Schedule 14A (Proxy Statement), Form 8-K’s, and Section 16 reports, and provided drafting assistance with respect to Forms 10-Q and 10-K.• Participate in the review of the merger agreement, due diligence activities and preparation of the company’s filings in connection with the company’s merger with Tyco International, Ltd. in 2010.
