Head of UK Company Secretarial Practice

- Helping to lead the UK company secretarial business at KPMG.- Co-ordinating large scale projects, including corporate record and constitutional document reviews- Board/committee meeting support - including pre and post-meeting support and experience of using board portal software- Governance advisory; including, governance reviews and PLC support.- Co-ordinating and providing wider transactional support alongside corporate colleagues in respect of complex corporate actions- Involvement with business development initiatives, including external presentations on legislative developments and supporting with KPMG's Company Secretarial Association in the North

• Providing advice on annual statutory compliance obligations•Maintenance of statutory registers and minute books• Maintenance of Blueprint database• Preparing and filing all statutory documents at Companies House• Liaising with internal and external stakeholders to ensure compliance processes are adhered to and statutory obligations are identified and met• Incorporating companies limited by shares, limited by guarantee, limited liability partnerships and branches• Preparation of a variety of board minutes/resolutions to approve:o Director/Secretary changeso Change in registered office addresso Change in accounting reference dateo Directors’ report and financial statementso Transfer of shareso Power of attorneyo Bank Mandates• Preparation of shareholder resolutions to approveo Adoption of Articles of Associationo Allotment of additional shareso Change of company name• Providing board support• Drafting AGM documents• Corporate health checks• Assisting companies who wish to have their companies struck off• Preparation of all documentation required for court order restoration• Providing advice on good practice and corporate governance to both clients and internal solicitors• Assisting in the notarisation and legalisation of a variety of documents
