As an associate at Nader, Hayaux & Goebel Jenny has been involved in high-level transactions, including advising FibraHotel with the establishment of the first equity shelf program for a Fibra in Mexico. The 5 year program was established for an amount of MXN$10,000 million, of which MXN$4,599 million was issued under the first issuance of the equity program, and advising Artha Capital on the successful launch of its fifth public fund (known as “CKD”) for an aggregate amount of MXN$12,000 million in Mexico.She received her LL.M. in Corporate, Banking and Finance Law from Fordham Law School (summa cum laude), having graduated as an attorney from the Universidad Panamericana (magna cum laude). Real Estate Law: Worked on real estate transactions regarding all the legal aspects of a large development such as the financing of the construction, due diligence of possible acquisitions, strategic partnerships with hotels and commercial agents and the structuring and sale of retail, housing and commercial developments.Mergers and Acquisitions and General Corporate: Drafted joint-venture agreements, corporate reorganization of the company, letters of intent and stock purchase agreements, articles of incorporation, by-laws, meeting minutes, shareholder agreements for Mexican corporations; drafted and reviewed trust agreements, mortgages, promissory notes, pledges and other security package documentation; translated agreements and other documents between Spanish and English. Corporate Compliance: Drafted the new anti-money laundering internal policy and the data protection and privacy compliance program of the corporation; supervised the work of legal interns and paralegals.

Participated in real estate and mergers and acquisitions transactions; assisted in the issuance of certificados bursatiles for up to Ps$20,000 million for Coca-Cola FEMSA, worked in the repossession of aircraft objects from Mexicana de Aviacion for several aircraft and engine lessors, assisted in the transaction regarding Grupo Caliente’s sale of a 67% share of its business to Codere and participated in the firm’s representation of Deutsche Bank, as agent, in relation to a US$300 million refinancing, of the Punta Mita Four Seasons Hotel.
