Jeremy is a Founding Partner at Optimal Counsel LLP, a new corporate law firm focused on serving cutting-edge technology, food and beverage, consumer product and e-commerce companies. Jeremy and his colleagues serve as outside corporate and commercial transactional counsel to clients from idea and company formation though venture capital financings and exits.

Jeremy represented emerging technology, e-commerce and CPG companies and entrepreneurs. He started E/N's New York office and worked closely with startups at all stages of a company's lifecycle, from formation and early growth advising to angel and venture capital financings to mergers and acquisitions.

Jeremy represented emerging growth companies and premier venture capital firms at Orrick's Technology Companies Group. He advised technology startups and investors as general outside counsel. Jeremy managed deal teams in connection with company formations, seed, early and mid-stage financings and mergers and acquisitions.

Jeremy's practice involved general corporate and securities work, with a focus on emerging technology and venture capital financings, securities offerings, mergers and acquisitions and securities law compliance.

While at the FAA, Jeremy wrote memoranda for civil penalty and criminal enforcement cases against air carriers and pilots, reviewed employment discrimination actions against the agency, and wrote litigation reports. He focused on employment issues including joint employment for agency subcontractors, reprisal, reasonable accommodations, and back pay limits.

Jeremy researched issues and wrote bench memoranda for confirmation, settlement, dismissal, and adversarial hearings before Hon. Elizabeth S. Stong. Issues included use of cash collateral, conflicting Code provisions regarding lease assumption and debt reaffirmation, and reconsideration motions.

Jeremy drafted assignment agreements and supporting documents for distressed debt trades. He also researched litigation and bankruptcy issues and prepared memoranda regarding syndicated lender liability, powers of special committees appointed by boards of directors, executory contract assignment, and attorney-client privilege waiver.

As a Judicial Intern in the Honorable William D. Wall's chambers, Jeremy researched issues and prepared draft orders for discovery motions. Issues included ex parte discovery in a trademark infringement case, and a motion to compel production of grand jury minutes for a wrongful prosecution case.

During his tenure at Washington U., Jeremy led admission committee file review & discussion for approximately 20% of the University’s 22,000+ annual freshman applications. He trained recruitment staff to read applications and to effectively present University messages. Jeremy was also responsible for student recruitment, parent interaction, and counselor relationships in New York City, Westchester County NY, Indiana, Ohio, and West Virginia. He was an invited presenter & panelist at selective admissions discussions at high schools nationwide, and presented to campus visitor groups of up to 400.
