Represent clients before EEOC and state FEP agencies; investigate allegations of sexual harassment; represent clients in unemployment compensation hearings and appeals; draft, review and negotiate contracts on behalf of association clients with executive recruitment firms; draft, review and negotiate individual employment contracts for CEOs of nonprofit organizations; draft and review employee manuals, personnel policies, severance and termination agreements; advise clients on proper termination procedures; review history and files and assist client in determining whether termination or other action justified; advise clients on proper classification and treatment of exempt/nonexempt employees under Fair Labor Standards Act and represent clients before Department of Labor and/or District of Columbia Wage Hour Office in audits; advise on salary-reduction, furlough policies; advise on RIFs (Reduction in Force) with focus on compliance with Age Discrimination Act; provide training to clients and other groups on various aspects of employment law: Title VII, Americans with Disabilities, Family Medical Leave, Fair Labor Standards Act.Exempt organizations practice. Draft, review and advise association clients on bylaws, association policies and procedures, codes of ethics, conflicts of interest; review and compare bylaws for compliance with nonprofit corporation law; review minutes; attend board meetings; serve as antitrust compliance counsel; incorporate nonprofits and help client prepare and file application for recognition of exempt status with IRS; review hotel and convention center leases and contracts; review corporate contracts such as software agreements, equipment leases, landlord-tenant leases.
