I was counsel in Weil’s Litigation Department and a member of the Firm’s Securities Litigation practice. I focused on complex corporate and securities litigation, and counseling on governance-related matters arising from mergers and acquisitions and restructurings. I also advised in connection with governmental and regulatory investigations.I played lead roles at all phases of litigation and investigations. My experience encompassed drafting key pleadings and dispositive motions, overseeing fact and expert discovery and depositions, strategizing with experts, and preparing for hearings and oral arguments, as well as leading internal investigations and interfacing with state and federal regulators and enforcement divisions.Representation included:-Sanofi, a global pharmaceutical company, in litigation brought by holders of contingent value rights issued in connection with Sanofi’s 2011 acquisition of Genzyme, relating to the performance of Sanofi’s multiple sclerosis drug, Lemtrada.-J. Crew Group, Inc. and its debtor-affiliates, one of the nation’s premier clothing retailers with approximately $2 billion in funded debt, in several lawsuits with creditors involving J.Crew’s out-of-court debt restructuring.-A major investment advisor and broker-dealer in connection with a wide variety of regulatory enforcement actions and investigations commenced by the SEC and state agencies.I also had an active pro bono practice, which included work with the Center for Constitutional Rights to file an amicus curiae brief in the United States Supreme Court case, Ziglar v. Abbasi, on behalf of a group of medical professionals concerning psychological and physiological effects of solitary confinement; and I assisted the New York State Bar Association Wrongful Convictions Task Force with the preparation of a report analyzing current practices for preventing wrongful convictions in New York.

Significant substantive knowledge gained of complex financial products and contracts; procedural issues arising in multi-jurisdiction litigation; conflicts of laws issues; recognition of foreign judgments and attachment; the Foreign Corrupt Practices Act (FCPA), the UK Bribery Act (UKBA), OFAC sanctions, the Securities Investor Protection Act (SIPA), various foreign and federal securities laws, NY trust law, and the NY UCC, among other areas of law.
