I have practiced copyright, trademark, literary property, and licensing law in New York City for 30 years (see www.literarypropertylaw.com) and served as part-time general counsel to a healthcare communications company for 14 years. In my capacity as part-time GC, I have reviewed, drafted and negotiated MSA's, NDA's, joint venture agreements, content/data/technology licenses and subscription agreements, and software/website development agreements; prepared terms of use, consumer-facing privacy policies, and sweepstakes and contest rules; developed and maintained the company's trademark portfolio and handled trademark and copyright infringement disputes; advised the company concerning marketing and CAN-SPAM issues; and worked with outside counsel on corporate acquisitions and divestments and litigation. In my private practice, in addition to handling the kinds of matters just described, I review, draft and negotiate publishing agreements for authors and publishers, collaboration agreements for co-authors, literary agency agreements, and media agency agreements; conduct fair use and work-for-hire analyses and prepublication reviews of manuscripts for libel and other legal issues; and handle other matters related to the rights of privacy and publicity. In an earlier life as a litigation associate, I represented clients in copyright infringement litigation.
