I was the lead attorney for tax, technology & related compliance matters for the Mashantucket Pequot Tribal Nation and Foxwoods Resort Casino, reporting directly to executive management and Tribal Council. I advised on governmental and commercial law matters, with an emphasis in taxation, technology privacy (GDPR) and risk management.I also served as counsel for the resort casino & hotel operations commercial transactions, as well as non-gaming business development, including negotiating and implementing multi $million technology and commerical transactions. I provided oversight and cross-function responsibility for internal departments including the economic development team, finance, iGaming, IT and procurement departments.

I advised on a broad range of US and international law and tax matters for domestic and foreign clients, including privately-held and publicly-traded companies, high-net worth individuals, and investment funds. Specialized in cross-border business and investment structuring, corporate joint ventures, mergers and acquisitions, asset protection, and various transactional and commercial issues. Extensive experience planning for technology companies, in particular those in the Internet and software industries, advising on all tax aspects of business formation, structuring foreign operations, and cross-border licensing and venture investment. Advised on private foundation and public charity structuring, both domestic and internationally, as well as drafting governance documentation, federal tax forms/filings, and grant agreements.Advised on income, sales, and property tax provisions related to federal Indian tribes and tribal members, including preemption of state taxation on Tribal lands by non-Indian companies. Co-authored an advisory memorandum for a federal Indian tribe related to issues around tribal sovereignty, international treaty interpretation, and federal regulatory matters. Assisted with formation, maintenance, and dissolution of limited liability companies, partnerships and corporations in US and foreign jurisdictions, including drafting of corporate governance documents and tax forms.Advised clients on issues regarding foreign bank account reporting (FBAR) obligations, the Foreign Account Tax Compliance Act (FATCA), and the IRS Offshore Voluntary Disclosure Programs, and other legal requirements related to US income and reporting.

I provided advice to clients on international tax law issues, including inbound/outbound transactions, treaty and foreign tax planning, cross-border financing, and cash repatriation strategies.

I was a member of the hedge fund offering legal team, responsible for drafting documents, exhibits and related securities filings.

I assisted the Division’s litigation lawyers in preparing cases for filing by drafting basic pleadings and motions, and conducted legal research for federal district court CERCLA Superfund and environmental pollution cases.
