Quality Distribution (NASDAQ: QLTY) operates the largest chemical bulk tank truck network in North America and is the largest North American provider of intermodal tank container and depot services. Reported revenue of $746M in 2011 with over 850 employees and over 2700 independent drivers. As Director of Internal Audit, established the Chief Audit Executive function and further developed the department’s responsibility beyond financial and operational compliance monitoring by broadening its focus to encompass risk management, core business drivers and opportunities to add value. Increased the department’s responsibility to include determining areas for process improvements, cost savings and revenue enhancement. Led company-wide initiative to review and improve all corporate processes. Redesigned the department’s risk assessment and audit reporting processes in order to provide more relevant and useful audit reports and to engage department heads and executive management in the audit process. Developed, trained and mentored audit staff so that they were empowered to perform the new directives of the department. Established processes and procedures for company expansions, both organic and acquisitions.

As Director Investor Relations, established a formal investor relations function and drove efforts to achieve fair valuation of company securities and expanded analyst coverage. Established one-on-one relationships with our analysts and doubled our analyst coverage. Managed relationships with NASDAQ representatives, SEC Counsel and proxy service providers. Developed content for investor and bank meetings, one-on-one briefings, presentations and earnings conferences. Compiled and coordinated data included in investor relations section of company website and annual reports.

As Director of Financial Reporting & Assistant Corporate Secretary, along with many of the responsibilities included in the investor relations role, oversaw all internal control and audit activities. Monitored alignment with GAAP accounting standards and SOX regulatory requirements. Managed accounting and finance professionals in delivery of all SEC filings and financial reporting which included: 10-K, 10-Q and Earnings Releases (Form 8-K). Ensured the proper application of GAAP to all company transactions (acquisitions, accounting changes, restructurings, stock-based compensation, debt refinancing (modifications and extinguishments) and financial reports. Regarded as direct contact for outside SEC counsel. Coordinated as well as moderated Quarterly Disclosure Committee Meetings comprised of the company's senior level executives and financial reporting staff. As Assistant Corporate Secretary, coordinated all aspects of Proxy preparation, filing and mailing and organized the annual meeting.
