Restated financial statements for re-submission to the SEC enabling trading to resume on the Company's stock. Successfully sold off two operating divisions. Consolidated the financial reporting structure eliminating redundant accounting systems, implemented appropriate internal controls and streamlined reporting, reduced operating expenses and returned the company to profitability. Sold two divisions of Company to reduce debt and align the Company for future growth. Successfully refinanced the Company by working closely working with financial institutions and restored the credibility and financial integrity of the Company. Re-introduced the Company to the investor community resulting in a 100% increase in stock price. Working with investment bankers completed a $1.2 million private placement. Acquired and integrated two companies expanding geographic and strategic coverage. Established policies and protocols for Sox 404 initiatives, identifying and mapping key processes to each significant account. Instituted a system of internal controls to address material deficiencies and processes.Developed detail monthly operating metrics and reports for management review, including profitability analysis by contract, and operational metrics measuring productivity of personnel. Directed technology efforts to enable the Company to use automation tools to improve timeliness of financial information from a remote work force to reducing the periodic financial close to 8 business days. Completed DCAA audits as required in compliance with the Federal Acquisition Regulations.

Tax and consulting practice representing several business enterprises, as well as providing litigation support on tax matters to two Washington, DC law firms.Through Sciacca and Associates, worked with the Company, its auditors and counsel, directed the initial public offering of On-Site Sourcing, Inc. Subsequent to the initial offering that raised $6.5 million, accepted the role as Vice President Finance and CFO. During my tenure revenue grew from $9.0 million to $22.0 million. Acquired two companies, expanded the geographic coverage to the eastern seaboard. Upgraded accounting systems, built the accounting staff, and implemented internal controls. Prepared, reviewed and filed all reports with the SEC. Functioned as the primary contact with investors, bankers, auditors and most other third parties.

As CFO of this small construction supply business during an economic recession, assisted the owners in realigning the business to remove costs to where the company was again profitable. Worked with the Company until a retained search brought in a new CEO.

Accomplished a $40 million dollar withdrawal agreement with VNU, an international publisher, and two corporate partners deferring recognition of gain into future periods. Once the withdrawal was completed, implemented new systems and accounting policies for financial reporting to senior management.

As the corporate controller for a $150 million retail and meat processing operation, instituted automated accounting systems enabling the development of budgeting and planning models which gave senior management budgets, cash flows, operating forecasts, and weekly sales summaries. Prepared financial data and management discussion and analysis for inclusion in parent company (Rymer Foods) filings with the SEC.

Directed the financial and tax accounting for the purchase and subsequent partial liquidation of Ringling Brothers & Barnum and Bailey Circus from Mattel, Inc. by Feld Productions, Inc. Through analytical and practical review of the acquisition and plan of liquidation, developed the tax planning subsequent to the liquidation, identifying the book and tax treatment in accordance with GAAP and IRS regulations. Utilizing a series of partial liquidations achieved a step up in basis in certain assets without challenge by the IRS.Implemented new financial and reporting systems. Design goals included financial reports for senior management which was timely, appropriately detailed, properly informative, and effectively analytical.Prepared and reviewed consolidated corporate tax returns and S-Corporation returns for federal and state purposes with locations in forty-eight (48) states. Reviewed and directed both federal and state tax planning opportunities dealing with foreign source income and the disposal of two business segments. The resulting effort minimized payment of federal and state income taxes.As project leader of a major system conversion, automated and converted existing accounting systems of a $100 million international entertainment entity to Mini Computers and PC based solutions and directed the development of a database management system.
