Associate General Counsel
CurrentWork closely with the Moda leadership team in achieving the business goals and strategic initiatives of the company and ensuring compliance with applicable laws and regulations (federal and state), using pragmatic and problem-solving characteristics to appropriately balance business opportunities with potential legal/regulatory risks and advise on structuring of transactions and partnerships to minimize risk without stifling innovation.Legal and regulatory advice, guidance, and support to various internal business units on a broad range of issues, including corporate transactions and contracting matters. Provide day-to-day legal advice to company management and staff.Build strong relationships with internal stakeholders, including executive leadership, to understand their legal needs and provide strategic guidance.Collaborate with external partners, including outside counsel and regulatory agencies, as needed to represent the company's interests.Act as Corporate Secretary, keeping minutes, drafting and preparing resolutions, maintain corporate records, advise others on matters related to corporate governance.Manage regulatory filings, licenses, and permits to ensure compliance with industry-specific requirements.Act as a point of contact for inquiries/investigations/examinations by regulatory and law enforcement agencies and responds to subpoenas upon the approval of the CEO or General Counsel.Identify critical legal and regulatory issues, assisting Moda staff and leadership with business transactions, fraud and abuse issues such as anti-kickback laws, licensure and enrollment, and reimbursement (including reimbursement issues within Medicare and Medicaid statutory and regulatory frameworks).Support corporate governance activities, including assisting in the preparation for board and committee meetings and advising senior officers on a wide range of governance matters.Supervise compliance staff to ensure timeliness and accuracy of work performed.
