As an associate in Fangda’s International Debt Capital Markets practice group, I represented various PRC municipal/private entities in connection with their USD offshore bond offerings in Hong Kong. My responsibilities included the drafting and negotiating of offering circulars, trust deeds, placing agreements and other ancillary transaction documents.

As a trainee in the Investment Funds practice group, I represented fund sponsors in structuring and formation of various types of investment funds. I was responsible for drafting fund agreements such as LPAs, subscription documents, side letters, investment management agreements as well as preparing various regulatory filings in the Cayman Islands, British Virgin Islands, Hong Kong and Singapore.I also represented various types of investors in connection with their investments in private equity funds. My responsibilities included reviewing fund agreements, providing legal advice on the fund agreements, preparation of side letters for clients as well as subscription materials in relation to their fund investments.I was also responsible for advising on various regulatory and fund-related queries from our clients and communicated closely with the Securities and Futures Commission in order to ensure that our clients were able to fulfil their regulatory obligations promptly.

As a trainee in the M&A / Private Equity practice group, I represented various clients in a full range of strategic and private equity M&A transactions, including formations of joint ventures, divestments of investments, business and group restructuring and distressed transactions. My responsibilities included negotiations with counterparties on various contractual terms, conducting legal due diligence on target companies and drafting transaction documents across the entire lifecycle of a deal including MOUs, NDAs, term sheets, SPAs and guarantees.Highlights:- Advised a world-leading PRC steel conglomerate on its US$2.1bn investment into a ferronickel mine and processing plant in conjunction with a major Canadian resources conglomerate- Advised VMS Asset Management on its proposed corporate restructuring and transfer of certain entities within its wider business group- Advised a global private equity firm on its divestment from a joint venture with a French children’s book publisher

As a trader in Brevan Howard, I managed the US$2b Brevan Howard Asia Fund in conjunction with the portfolio management team. The Fund consisted of a complex macro strategy involving relative value, macro, event-driven and various other strategies. My responsibilities included trading various complex derivative structures, including interest rates swap contracts, bond and equity index futures, as well as equity-linked notes and foreign exchange derivatives in order to grow the portfolio and to manage the various aspects of risk that the portfolio faced. I was also expected to conduct weekly meetings with risk managers and senior traders in order to discuss geopolitical and macroeconomic developments and to coordinate trading efforts across the portfolio.
