Business Law Section, Houston, Texas • Negotiate, draft, and review purchase as well as sales contracts for the Energy Business, which primarily encompasses electricity, steam, and natural gas. • Negotiate, draft, and review purchase as well as sales contracts for the Hydrocarbons Business, which encompasses Feedstocks (ethane, propane, butanes, and naphtha), Olefins, and Aromatics.• Provide a broad range of legal services for the Mining, Storage, and Pipeline functions. • Negotiate and draft sales contracts for the Latex and Plastics businesses.• Serve as attorney for a Dow subsidiary which is a retail electric provider in Texas.• Function as attorney for seven Dow subsidiaries which own interstate or intrastate pipelines for natural gas and liquids.• Serve as Secretary for six of the seven Dow pipeline subsidiaries. Major projects have included providing legal advice, negotiating, and drafting:  A Capacity Sales Agreement plus an Operation and Maintenance Agreement for the power plant constructed by a Calpine subsidiary on Dow’s Freeport, TX site (“Power 9 Project”),  A Liquefied Natural Gas Terminal Capacity Access Agreement, plus two Master Sales and Purchase Agreements with EDF Trading,  An Energy Sales Agreement with one Calpine subsidiary plus an Amended and Restated Energy Sales Agreement with another Calpine subsidiary for Dow’s Pittsburg, CA site during the Calpine Chapter 11 Bankruptcy proceedings, and  An Excess Capacity Sharing and Exchange Agreement plus amendments to other agreements with respect to the restructuring of K/D/S Promix, LLC, which fractionates natural gas liquids.

Plaquemine, Louisiana

Gulf Coast Section • Responsibilities included litigation, contracts, employment law, energy, environmental law, and real estate for several manufacturing sites in Louisiana. • Supervised two lawyers, a paralegal, and an office professional for a portion of the time. Major projects included:  Drafting, negotiating, and providing legal advice on agreements necessary for Dow’s lease of a large power plant constructed by a subsidiary of American Electric Power (“AEP”) on Dow’s Plaquemine site and Dow’s sale of most of the power generated by that plant to another AEP subsidiary (“Power 3 Project”),  Successfully resolving eight lawsuits, including class actions, arising out of a perchloroethylene spill, a small portion of which went into the Mississippi River,  Defending two federal criminal investigations which were resolved with no indictments issued, and  Recovering more than my salary on average per year, and several million dollars over time, by filing claims and lawsuits for property damage and theft.

Eastern Division• Role included litigation, contracts, employment law, environmental law, and real estate for chemical and plastics manufacturing sites in Ohio, Missouri, Connecticut, Georgia, and Illinois.• Supervised a paralegal and an office professional.

Midland, Michigan

Environmental Law Section• Areas of responsibility were the Toxic Substances Control Act (“TSCA”), Food, Drug, and Cosmetic Act and portions of the Superfund Amendments and Reauthorization Act. • Authored comments on proposed rules, participated in trade association activities, provided advice regarding compliance, and defended enforcement actions. • Served as the attorney for the Dow Records Management Program. Major projects included:  Defending an EPA enforcement action alleging that Dow violated restrictions on polychlorinated biphenyls (PCBs) by marketing a monochlorobiphenyl product, Settling an EPA enforcement action which alleged that some of Dow’s polycarbonate products were not included on the TSCA Inventory (“Polycarbonate Enforcement Action”),  Helping set up compliance programs during the time period when the EPA was developing many TSCA regulations.
