Joined NRDC Acquisition Corp. (AMEX:NAQ), a Special Purpose Acquisition Company (SPAC), as part of an effort to avoid the scheduled liquidation resulting from the expiration of the contractual 24 month investment period. The SPAC had raised in excess of $400 million in October 2007, and due to the inability to identify a suitable acquisition target, would have been liquidated in October 2009. NRDC proposed converting the SPAC to a perpetual life retail REIT to avoid the scheduled liquidation. ROIC (NASDAQ:ROIC) was borne from the successful execution of that plan, and one of only a few SPAC’s to successfully make this conversion. ROIC became an $800 million shopping center REIT focused on the west coast. Some of the major accomplishments achieved during my tenure include the following: • Initial member of two person management team which spent approximately 30 days on a road show targeting the dedicated REIT investor community to drive demand for the existing NRDC common shares. During this period, virtually 100% of the common shares traded hands to facilitate a 99.99% approval of the conversion and retention of virtually all of the $400 million of SPAC proceeds•Acquired approximately $800 million of assets including approx $200 million of distressed debt•Executed $75 million follow-on common stock offering in December 2011•Implemented ATM common equity program which to date has raised approximately $40 million of additional equity•Arranged $400 million of unsecured credit and term facilities. •Developed strategy to address outstanding warrants remaining from SPAC conversion•Developed ground-up corporate and property level infrastructure including implementation of Yardi enterprise technology•Developed hedging strategy to address interest rate risk related to financing strategy•Worked with analyst community to initiate coverage by five institutions•ROIC was the best performing shopping center REIT in its peer group for 2011

Initially engaged as a consultant in connection with Gramercy Capital Corp.’s (NYSE:GKK) acquisition of American Financial Corp. (NYSE:AFR). Subsequently hired as CFO on a transitional basis. During this period, the following were accomplished:•Completed the acquisition of AFR in April 2008 during one of the more volatile financial market periods in recent history•Migrated GKK’s existing mortgage REIT business onto the AFR JDE technology platform and off of the external manager’s (SL Green) platform•Negotiated with secured and unsecured lenders representing repo and traditional revolver facilities to maintain compliance with debt covenants. These negotiations ultimately resulted in a discounted payout to the unsecured credit facility lenders•Integrated GKK and AFR personnel representing greatly disparate businesses in order to eliminate redundancies and realize the synergies projected in underwriting•Member of Investment Committee primarily dealing with the restructuring of numerous mortgage notes held within GKK’s $3 billion of CDO’s•Creation of company models incorporating AFR and GKK businesses to accurately forecast earnings and support business decisions. In addition, extensive models were created to accurately forecast CDO compliance in order to evaluate mortgage restructuring proposals of borrowers•Completed internalization of management converting from a externally advised to a self-administered and self-managed structure in 2009

New Plan (NYSE:NXL) was one of the nation’s largest real estate companies, focusing on the ownership, management and development of community and neighborhood shopping centers. The Company operated as a publicly traded, self-administered and self-managed REIT, with a national portfolio of 467 properties, including 177 properties held through joint ventures, and total assets of approximately $9 billion aggregating approximately 68 million square feet. As part of a management restructuring, joined the company to facilitate a turn around. In connection with this process, virtually every aspect of the company’s operations were restructured. Areas of responsibility included all accounting and finance functions, treasury, budgeting, IT and human resources and administration. Major accomplishments include:•As part of the investment committee, reviewed and approved $3.2 billion in acquisitions and $2.3 billion in dispositions in addition to $700 million development and redevelopment covering 180 projects •Key member of management team responsible for the creation of a state of the art national shopping center infrastructure. This included regional operating offices, JDE/Peoplesoft/Oracle technology platform and migration of back office operations to India•Oversaw the issuance of $2 billion of debt and equity including, senior unsecured bonds, convertible bonds, unsecured term and revolving credit facilities as well as common and preferred equity•Initiated numerous operational improvements, including departmental budgeting, implementation of the DYNA projection software for all real estate assets, reengineering of processes and implementation of 404 and an internal audit function•Completed the purchase of the management and equity interests of CBL in Galileo while simultaneously selling a $1 billion portfolio into the Galileo joint venture.•Completed the sale of NXL to Centro Properties Group, a publicly traded, Australian real estate company in April 2007

As a Senior Vice President of the financial services division of The Related Companies, performed the duties of CFO for three (3) publicly traded, externally managed and advised real estate entities: Aegis Realty, Inc. (AMEX:AER), an equity shopping center REIT; Charter Municipal Mortgage Acceptance Company (AMEX:CHC); and American Mortgage Acceptance Company (AMEX:AMC) a taxable mortgage REIT. Major accomplishments include: • Listed a mortgage REIT on the AMEX. Devised and implemented a business plan to convert an existing publicly registered, non-traded, finite life, closed end mortgage REIT to a publicly traded, infinite life entity • Lead issuance of preferred equity issuance for CHC. Working with Merrill Lynch, structured and issued a 6 5/8% $90 million private placement to multiple institutional investors • Oversaw the investment of $400 million in shopping center and mortgage instruments and the origination of $300 million of borrowings from multiple lenders in connection with the business plans of the three entities
