I work closely with the Sales Team, General Counsel, and Company managers to administer and handle all aspects of the Company contract life cycle requirements. I administer, draft, and negotiate contracts and commercial transactions including customer agreements, vendor agreements, subscription agreements, order forms, statements of work, amendments, and various other forms and agreements.As part of the Contracts team, we act as the principal point of contact between sales, customers, and legal for negotiating, routing, and processing contract related documents for signature and archiving. I also support additional corporate legal, regulatory, corporate governance, legal research, training, M&A projects, and other legal and compliance initiatives.

I provided professional legal support services and expertise to the executive team of SEW related to client/3rd party contractual relationships. On a day-to-day basis, I assisted with drafting, reviewing, and negotiating a wide variety of client proposals and contracts, including arrangements for the procurement of goods and services, software sales, consulting and reseller agreements, 3rd party partnerships, strategic alliances, and development agreements. I worked collaboratively with the Sales and Operations leaders as well as the 3rd parties that SEW conducts business with to manage contracts through the entire contract lifecycle. This includes, in addition to drafting/reviewing/negotiating the contracts, interpreting provisions of existing contracts and handling any amendments, renewals, or terminations that may arise. Additionally, I worked with our Operations and Sales leaders to develop contracting processes, standards, and practices for SEW.

I compiled high volumes of material data sets in Excel and mapped, migrated, and validated those data sets against what was in Disney's system to ensure accuracy. Additionally, I audited the deal terms of various licensed products in the system and ensured that they properly reflected what's in the distribution/licensing agreement.

I confirmed publishing splits for various new WBR releases and requested mechanical licenses as necessary. I then entered rates and terms from the licenses and from various applicable contracts (artist/producer/side-artist agreements; NDMA agreements; etc.) into our licensing/royalties system. Additionally, I requested tax information for new publishers and worked with our royalties team to get them set-up to pay. I attended weekly licensing department meetings where we discussed new releases and other plans for the licensing department. Further, I was the subject matter expert responsible for entering contracts into the new licensing system when we went through a large-scale database migration.

I negotiated rates and terms for all digital videos and ringtones released by WBR and Rhino and requested licenses as necessary. Using the negotiated rates as well as rates governed by our NDMA agreements with certain publishers, I set-up all digital videos and ringtones into our licensing/royalties system.

I handled all client contract signings in terms of walking the client through the terms of the contract and making sure we got all needed signatures/initials. Additionally, I helped with calling clients regarding auditions and collecting and organizing new client documents. I also helped create an Excel spreadsheet to organize voiceover clients and streamline management of these clients.

I went over non-disclosure and consulting agreements with the in-house attorney and helped update the legal docketing system. I also conducted legal research on the Federal Corrupt Practices Act to help the in-house attorney prepare for the company's push into new foreign territories. I was further tasked with creating PowerPoint presentations explaining aspects of IP law to QSC employees and helping to create a social media policy proposal for the employee handbook.

I organized and reviewed client documents and files. I also attended court sessions with Mr. Rapoport and observed hearings and trials. Additionally, I was tasked with preparing numerous deposition summaries.

I conducted legal research on various issues for Mr. Rubinstein. Additionally, I participated in new client intake interviews and organized and reviewed client documents and files for pending matters. I attended court proceedings and depositions with Mr. Rubinstein and took notes.
