My legal practice is focused on transactional and intellectual property matters, but also includes other legal areas including employment, privacy, commercial transactions and disputes, and general business matters and organizational legal compliance.I practice in all areas of intellectual property (patent, trademark, copyright, trade secret), including IP mergers and acquisitions, due diligence, agreements (general IP licensing, software and IT agreements such as licensing and service agreements, etc.), litigation, patent, trademark, and copyright prosecution and counseling, and domain name and website matters (UDRP disputes, terms and conditions, privacy policies, etc.).On behalf of the global banks and other lenders and corporate borrowers, buyers, and sellers, I have handled IP matters on 1,000+ mergers, acquisitions, credit facilities (typically in the range of $20m to $1.5b range), and other transactions in numerous industries including IT/software/Internet, pharmaceutical/chemical, healthcare/medical, consumer products, financial services, entertainment, aerospace/transportation, food, sports teams, and restaurant chains. Specifically, I have negotiated and drafted terms for credit agreements, security agreements, and related loan documentation as well as purchase, merger, and other acquisition agreements, reviewed and analyzed disclosures and performed diligence of borrower or target companies’ assets, agreements, and legal disputes regarding intellectual property, information technology, and related areas, identified issues and resolved such issues or assessed risk for such issues, and secured liens on borrower or target companies’ assets.
