Yakima Restaurants, Inc. (“YRI”) owns and operates 9 restaurants in Central Washington, earns over $22MM in annual sales, supports and develops over 250 employees, strives to exceed customer expectations on nearly 5,000 orders/day, and provides over $75,000/year to local youth-serving organizations. The Vacation Internationale Program is a points-based, right-to-use timeshare club consisting of over 40,000 members, over 40 resorts, and over 400 employees throughout the United States, Mexico, and Canada. As General Counsel, I encountered many areas of law and had various duties and responsibilities, including:- Advising the Company's board, management, and staff on general business and corporate matters, on all aspects of real estate and business transactions, and on regulatory compliance.- Drafting and reviewing commercial contracts, including AIA contracts, affiliation agreements, management agreements, property rental contracts, and commercial leases.- Reviewing and approving material program changes.- Resolving consumer complaints, sometimes involving state consumer protection agencies.- Managing and assisting outside counsel in litigation and other legal matters, including commercial financing, real estate acquisition, and corporate mergers.- Advising HR on a wide range of personnel and employment issues. - Developing and training staff on Company policies, including policies covering privacy, PCI compliance, information security and social media. - Maintaining corporate records, business licenses, and other corporate documents for the company and its affiliates.- Registering and maintaining intellectual property rights.- Preparing initial and amended timeshare registrations, and corresponding with all timeshare regulators regarding the same.- Advising and serving on various boards of common interest owners associations. Served as Director at Large for the Association of Apartment Owners of The Sea Village, a 131-unit condominium project located in Kailua-Kona, Hawaii.Prior to serving as the Company's General Counsel, I served as the Company's Staff Counsel (from October 2006 – November 2009).
