Draft, negotiate and interpret complex agreements related to the resolution of a failed bank and the disposition of its assets and liabilities, including workout, settlement, restructure and purchase and sale contracts. The closest private-sector equivalent is mergers and acquisitions (M&A) of banks. Advise the FDIC's Receiver-in-Charge on all issues arising in connection with the failure of a financial institution, including federal and state banking and receivership law, employee benefits, real estate, litigation and asset disposition. Resolved legal issues involving the FDIC's Shared-Loss Agreements with acquiring institutions.
