Sold this wireless infrastructure management and consulting company contracted to CrownCastle and American Tower to Mastec (NYSE) late in December of 2001 for undisclosed sum.

Morgan Ventures was contracted as the Technical Director to initially manage their southern region to provided executive leadership, financial oversight, and operational guidance as Triton undertook the largest contiguous green field PCS engineering and constuction development campaign in the Mid-Atlantic states. The entire states of Virginia, Tennessee, North Carolina, South Carolina, and parts of Georgia. o Promoted to manage the entire wireless infrastructure project as the only Tech Director in all markets.o Managed the Build-Out in the face of the newly adopted NEPA and SHIPO laws.o Brought 2,300 wireless transmission sites “On-Line” in 18 months with the BTS services of CrownCastle and AmericanTower, of which “over 1/3 were brand new tower builds”.o Directly supervised a staff of ~70, and an independent contractor force of over ~600 personnel. o Monitored capital expenditures (Budget of $1.2 Billion) and independent subcontractor performance. o Reported directly to the BOD, CTO and two Regional Operating Presidents.

I was the first employee and verifed the business case assumptions and wrote the firms five year proforma financial model and company Prospectus for pre and post-money valuation purposes, develop operational and capital development budgets, evaluate real estate acquisition opportunities and guide overall project management as the company rolled out its wireless vehicle identification and location technologies along with helping raise capital. The Company was capitalized at $24-million via multiple Reg D offerings.o Implemented two metropolitan infrastructure build-outs, Dallas and Washington D.C., as test networks to support the confirmation of the technologies. o Approved all financial decisions, personally generating capital budgets and pro forma projections including network capital costs, capital budgeting and implementation budgets. Oversaw accounting, auditing, and financial reporting. o Evaluated acquisitions, negotiated and managed outsourcing contracts and determined valuations for competitive licensing acquisitions.
