I consult with boards of directors, board committees, individual directors and executives on a broad range of governance matters including board composition, director and CEO succession planning, board and director performance and evaluation, compliance and investigations, fiduciary duties, risk assessment and mitigation, business sustainability, director and officer protection (including indemnification , D&O insurance and director agreements), formation and representation of special board committees and consideration of various governance best practices.More recently, I have focused on board oversight responsibilities regarding corporate integrity, artificial intelligence and sustainability (Environmental, Social and Governance).I also serve periodically as an expert witness in disputes involving boards, senior executive, directors and owners. I teach governance as an adjunct professor in the law school and business school at the University of St. Thomas in Minneapolis, and am on the boards of several for profit companies and non profit oraganizations.I am a past Chair of the Corporate Governance Committee, currently a Vice Chair of the Committee on Corporate Social Responsibility, and Co-chair of the Task Force on Governance Implications of Artificial Intelligence of the American Bar Association's Business Law Section. I served 2 terms on the Board of Directors of the National Association of Corporate Directors, and Co-founded its Minnesota Chapter of which I am a past Chair and current director emeritus. I am a past director and Executive Committee member of the Center for International Private Enterprise (CIPE.org), Washington, D.C. I am also a past member of the Board of Trustees of Carleton College, Northfield, Minnesota.In 2016 I was a elected a Member of the American College of Governance Counsel.
