Regularly handle and advise on corporate entity formation and governance matters, corporate and securities compliance, mergers and acquisitions, private equity and debt financings, licensing agreements, entertainment and media agreements, employment and independent contractor agreements, confidentiality and nondisclosure agreements, technology and online agreements and mandatory state and federal filings. Serve as outside general counsel for various small and medium sized businesses and nonprofit organizations.

Provide transactional-based general legal counsel services to small and mid-size businesses and nonprofit organizations. Serve as outside general counsel to several businesses and organizations. Advise and counsel small and midsize companies and nonprofit organizations on general legal services, including:• Employee handbooks, policies and procedures• Employer Standard Operating Procedures (SOP)• Drafting employment-related agreements including offer letters, employment contracts, severance agreements and post employment covenants• Drafting and advising on independent contractor agreements (specific focus on California AB-5 and AB-2257 compliance)• Advising employers on hiring policies and procedures• Advising employers on worker classification matters• Advising employers on discipline and termination• Compliance with an array of workplace guidelines under federal, state and local laws• Copyright and trademark matters• Image use guidelines and procedures• Licensing agreements• Non-disclosure and confidentiality agreements• Social media policies• Privacy rights• Contract review, drafting and modification• Preparing and filing entity formation documents and governing documents, amendments and resolutions• Privacy Policy, Terms of Use and Terms and Conditions review, drafting and modification• Preparing and negotiating purchase agreements and ancillary documents for private stock or asset acquisition• Preparing due diligence for private stock or asset acquisition• Preparing disclosure schedules and closing checklists for private stock or asset acquisition• Preparing investor documents for private equity and debt financings
